1. ABOUT GIDI DISTRIBUTIONS CORPORATION AND THE PLATFORM

1.1 This particular page on this website (https://gidi-distribution.com/), refers to the terms and conditions (be defined as “Terms” hereafter) on how you may make use of the aforementioned website (be defined as “Site” hereafter) of GIDI Distributions Corporation, either as a guest or as a registered user in our system. Do carefully read these Terms before conducting any purchase or any activity on this Site. By using the Site, be it browsing through the products, ordering, or making a transaction, you hereby accept these Terms and you agree to fully comply with them. 

1.2 GIDI Distributions Corporation (be defined as “GIDI” hereafter), is the official trademark of GIDI, a company registered in the Philippines, situated in 268-A N. Domingo St., San Juan City, 1500, Metro Manila. GIDI is a company registered with the Securities Exchange Commission (SEC).

1.4 GIDI reserves the right to update these Terms any time without prior notice. Customers will be notified of such updates through the GIDI Site once the new Terms have been implemented. Using the Site continuously after such updates implies that you accept the newly implemented Terms. Kindly review the information we post here on the Site to be up-to-date on such changes. 

1.5 You agree that you are not to use this Site to:  

1. Promote or sell any illegal or prohibited materials (like illegal substances) through this Site;
2. Post pornographic, racist, offensive, discriminatory, harassing, threatening, hateful, defamatory, or political materials on this Site;
3. Use this Site to breach any law, statute, or by-laws of any applicable jurisdiction in the Philippines;
4. Impersonate any person or entity; or to falsely claim or state your relationship with any person or entity;
5. Conduct activities that are in contrast to any particular rule or requirement that GIDI implements on its Site, with respect to any particular part of the Site or the Site as a whole; 
6. Attempt to make access to this Site with malicious intent such as, but not limited to, disrupting the system or networks connected to this Site;
7. Upload materials that contain any software and/or computer programming routines that are only used to do damage in any system, data, or personal information. 

1.6 You understand that GIDI will have an irreversible, royalty-free, assignable license to use any material which you have submitted to GIDI or the Site for the purpose of marketing your product/s. You, therefore, waive your rights as the author, and that you allow us to modify the materials you have submitted. Rest assured that all alterations to your materials, should we make them are still in respect for what your brand stands for and that such alterations may only be made to further market your products better. 

1.7 You, therefore, comply with any instructions given in these Terms, and you agree to these Terms upon using the Site. 

2. MAKING AN ACCOUNT ON THE SITE

2.1 You will need a registered account to conduct a purchase of any products listed on the Site, as well as to access the full features of the Site. See our Privacy Policy for more details on how we collect, use, and disclose your personal data. 

2.2 You will need to generate a username and a password for your GIDI account. Please ensure that only you will have an access to such information. Do understand that you are responsible for any unauthorized access to your account using your credentials (particularly your password). 

2.3 Purchasing an item or conducting any activity on the Site will automatically give GIDI consent to use your personal data, and you agree that all data you have provided are true. All personal data that we process are in accordance with our Privacy Policy. 

3. ORDER AND PAYMENT 

3.1 Purchasing an item through the Site will include Value Added Tax (VAT) and any other applicable delivery charges. All charges set by GIDI are in Philippine Pesos. 

3.2 Items purchased through GIDI and its Site are to be paid fully. Orders will not be delivered or handed to customers unless we receive the full amount of the item/s purchased. 

3.3 You may pay via cash-on-delivery; or credit or debit card using our third-party payment processors; or other payment methods such as GCash, PayMaya, or any outlet alike that are approved and used by GIDI. To ensure that there is a sufficient fund for any wireless payment outlet or tool that you will be using.

3.4 We will inform you immediately once your payment is confirmed and once we start processing your order. Your order may be cancelled, however, in situations such as, but not limited to: (a) pricing errors; (b) out-of-stock items. 

3.5 For accidental orders submitted to the Site, do contact our customer service representatives immediately (hotline: (02) 8654-0888). Please order carefully to avoid any inconvenience. 

3.6 GIDI will ensure the accuracy of the prices applied to all products on the Site. We do not, however, guarantee that the prices are always true. Should there be an error in the price of the item you have ordered through the Site, we may choose to cancel your order before or after our confirmation. If an item has been already delivered to you, which you have bought at the wrong price, you will be refunded accordingly. 

4. DELIVERY OF ITEMS

4.1 Orders will be processed within 5 to 7 days upon confirmation. Afterward, items will be forwarded to our courier partners for delivery. The specific delivery timeframe for your item will be set by our courier partners. 

4.2 Please ensure that all delivery information you will give to us is true to avoid any inconvenience. If possible, do provide specific landmarks to help our courier partners in finding your address better. 

4.3 Should there be any damage to the item/s upon delivery, please refer to our Return Policy to know more on what to do next. 

4.4 Delivery or shipping fee applies for all items. Such fee can be removed during a promotion from GIDI that indicates so. 

4.5 Kindly inform us if your item is not delivered within the timeframe set by our courier partners. 

4.6 Please note that failure to receive the item, even after the time period given by GIDI or our courier partners, may result in contract termination, thus, deeming the order canceled.

5. WEBSITE AVAILABILITY, SECURITY, AND ACCURACY

5.1 Do understand that although we will make sure to keep the site running at all times, there may be times where we experience technical difficulties. With this, GIDI cannot be liable for any reason that the Site becomes unavailable at any time. We will not make any assurance that your access to the Site will always be uninterrupted or with no delays or difficulties. 

5.2 We may conduct website maintenance, modifications, upgrades, or suspensions of any feature without any prior notice. GIDI and the Site will not be liable if you lose access to the Site due to the result of the website maintenance, modifications, upgrades, or suspensions of any feature.

5.3 GIDI and the Site will not be liable for damages to your device, software, data, or any other property due to your access to or use of the Site, or you’re obtaining any material from, or as a result of using the Site. 

5.4 While we ensure that all information and materials on the Site are true, we do not guarantee, or express, or imply that they are complete, accurate, or up-to-date; fit for a particular purpose and, to the extent permitted by law, we will not be liable for any errors or omissions. This, however, will not affect any obligation which we have under any contract to any party or individual in relation to our services. 

6. THIRD-PARTY WEBSITES

6.1 GIDI does not have any control over and has no responsibility for the content of any site to which a link from the Site exists (i.e. brand websites, etc.) unless such links are from GIDI. These links will be used solely for your convenience with no warranty, express or implied, for the information provided within them. 

7. INTELLECTUAL PROPERTY AND TRADEMARK

7.1 GIDI Distributions Corporation and all logos related and used by the company, and all related names are trademarks of GIDI or our licensors.

7.2 We are the owners of all digital materials published on the Site. You must not use any material from the Site for commercial purposes without getting a license or approval to do so from GIDI or our licensors. 

8. PHILIPPINE LAWS AND JURISDICTION

8.1 The Terms stated on this Site and your use of the Site (and all non-contractual relationships arising out of or connected to it or them) shall be governed by and construed in accordance and respect with the Philippine laws. Should there be any dispute which may arise under these Terms, you shall submit to the exclusive jurisdiction of the Philippine courts to settle.
